Application of the constructive receipt doctrine occurs when a taxpayer has an unrestricted right to draw upon funds even if they choose not to exercise that right. If money is credited to an account or set apart so that it can be drawn upon at any time, tax liability arises immediately.
Control Right
Economic power over a payment triggers the tax event. While physical possession of cash is the traditional trigger, the constructive receipt doctrine looks for the moment a payor relinquishes control. If a check is available for pickup at a business office but the payee remains elsewhere to delay the gain, the income belongs to the period when the funds were first reachable.
This prevents the manipulation of tax periods through deliberate avoidance of receipt.
Contractual Delay
Formal agreements to defer payment change the outcome. A bona fide agreement made before the work begins can successfully push income into a later tax year.
Avoidance Boundary
Income that is subject to substantial limitations or restrictions remains outside this rule. When a company places funds in escrow that require third party signatures or the fulfillment of specific performance milestones, the constructive receipt doctrine stays dormant. Access must be immediate and unilateral for the tax obligation to land.
No amount of internal accounting can trigger the tax if the payor retains a legal right to withhold the funds.
